Terms of Service



Introduction & Overview

Thank you for choosing Baer Mountain Financial Services (“BMFS”, “us”, “we”, “our”). Please read the following terms carefully and in full, as these terms outline the provisions agreed upon once a deposit or payment for our services has been made.

If you are an individual acting on your company’s or client’s behalf, you accept these provisions on their behalf and the term “you” will refer to you, your company, or your client.

By purchasing a recurring service or entering into a signed agreement with us, you acknowledge that you have read, understand, and agree to these terms, along with any additional terms provided separately to you.

We may change or modify the provisions of these terms at any time, and may notify you of any changes or modifications by electronic mail, as advertised on https://www.baermountainfs.com (“website”) or other means. It’s important that you review any modified terms because your continued agreement for our services indicates your acknowledgement and agreement to the modifications. These Terms, along with any applicable agreements, constitute the entire agreement between you and BMFS and supersede all prior communications or understandings.

In some cases, you may need to accept changes or modifications to these terms to continue receiving our services. If you do not agree to the changes, our services will cease immediately and no refund will be issued. You agree that we will not be liable to you or any third-party for any modifications, suspension or termination of our services.

BMFS communicates primarily via email and scheduled calls. Messages sent outside of normal business hours will be addressed during the next business period. We do not guarantee real-time or immediate responses.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington.

Your Personal Information

We want to be transparent about how we use your personal information and about your rights in our Privacy Policy. You should only provide us with personal information of others if you have received permission to do so.

You agree that BMFS may use and maintain your personal information according to our Privacy Policy and any changes published by us. To the extent we request or allow you to provide or input personal information (as the term is defined under applicable law) about other individuals other than yourself, you represent and warrant that you have complied with all applicable laws and received the proper authority or consent to allow us to collect and process such information to operate our business, in accordance with our Privacy Policy. You further agree that, such sharing does not constitute a “sale” of information as defined under the California Consumer Privacy Act (CCPA).

Account

You will provide accurate, up-to-date personal information as needed to verify your identity and you authorize us to collect information (i.e. date of birth, address) from you to do so and we disclaim any liability arising from your failure to provide any requested information, as such failure may limit our accuracy and effectiveness in providing services to you.

Product & Service Terms

BMFS reserves the right to refuse or terminate services at any time, with or without cause, upon written notice.

Books Support (Lite)

Books Support is an ongoing advisory and support service designed to assist you with your bookkeeping questions and processes. This service does not include full-service bookkeeping, transaction entry, account reconciliation, or ongoing monitoring of your financial records unless otherwise agreed in writing.

You are responsible for maintaining your own bookkeeping records and implementing any guidance or recommendations provided. Support is provided during standard business hours. Response times may vary depending on volume, but are not guaranteed to be immediate or real-time. This service does not guarantee specific financial outcomes, accuracy of third-party software, or tax results.

Any services requested outside the scope of Books Support, including but not limited to cleanup, catch-up work, or full-service bookkeeping, will require a separate agreement and may incur additional fees.

Books Cleanup & Catch-up 

Catch-Up & Cleanup services are limited to historical bookkeeping and do not include ongoing monthly services unless otherwise agreed in writing.

The scope of work will be determined following an initial review of the Client’s books and is based on the number of months behind, account volume, and overall complexity. Any work outside the agreed scope may result in additional fees.

The Client is responsible for providing complete and timely access to all necessary financial accounts, records, and documentation. Work will not begin until all required access and information have been received.

Services include categorization of transactions, account reconciliation, and correction of identifiable errors. This service does not include tax preparation, tax filing, or direct communication with the Client’s CPA or tax professional unless explicitly agreed upon.

If significant issues are identified—such as missing information, incomplete records, or major discrepancies—additional time and fees may be required. The Client will be notified before any additional work is performed.

Turnaround times are estimates only and depend on the scope of work and the Client’s responsiveness. Delays in communication or document submission may impact completion timelines.

Payment will be due in full prior to the commencement of services, with the remaining balance due upon completion. All fees are non-refundable once work has begun. Final deliverables and financial reports will be released upon receipt of full payment.

To maintain accuracy and efficiency, the Client agrees not to make changes to the bookkeeping records during the cleanup process. Any unauthorized changes may result in delays or additional fees.

Payment & Terminations

Some Services may be free, others may have costs associated with them. For those with costs, we may charge your payment method for fees or on a subscription basis as stated in the current service contract or letter of engagement (“agreement”). You may terminate your services at any time with a written notice to be effective at the end of the current billing cycle (but you may not receive a refund for partial months).

We may require a deposit, payment in full or a recurring subscription charge for rending of our services and you agree to pay such fees. Payments will be billed in US dollars, and your account will be charged upon purchase and when you provide your payment information, unless otherwise stated in our agreement or other applicable payment provisions. If your payment information is not accurate, current and complete, we may suspend or terminate services. If you do not notify us of updates to your payment information, you may be subject to additional fees.

You may be charged a subscription fee in advance on an annual basis or other recurring interval disclosed to you. For annual subscriptions, we will send you a reminder with the then-current subscription fee no less than thirty (30) days and no more than sixty (60) days prior to our agreement term ending, or otherwise as required by applicable law. BMFS may change the price for recurring subscription fees from time to time with notice to you. Price changes will take effect at the start of the next subscription period following the date of the price change. If you do not agree with the price change, you may opt to not renew your agreement with us.

Advice and Third Party Services or Products

You may have access to professional advice and third-party products. Any such advice and products are not covered under these Terms.

We may offer specific functionality in our communication or on our website that provides you with the opportunity to utilize other professional services (“Platform”), such as the ability to utilize a tax software program. Unless specifically disclosed, BMFS is not in the business of providing legal, financial, accounting, tax, health care, insurance, real estate or other professional service or advise, and you should consult with professionals for advice prior to making important decisions in these areas. Any information or guidance provided is for general informational purposes only and should not be solely relied upon for financial, tax, or business decisions. You are responsible for consulting appropriate professionals as needed. You agree to indemnify and hold harmless BMFS from any claims, damages, liabilities, or expenses arising from your use of our services, your failure to provide accurate information, or your violation of any applicable laws or regulations.

Our website may also include information about or offers for third-party services or products or allow you to connect to or otherwise access third-party services or products. BMFS does not warrant, and is not responsible for, such third-party services or products or claims made about them, or the actions or inactions of any third-party. You must review and comply with any Additional Terms. BMFS may be compensated by those third parties, which could impact whether, how and where the services and products are displayed.

Content & Data

What’s yours remains yours, what’s ours remains ours, but we may use information you provide to improve our services.

You are solely responsible for anything you write, submit, receive, share and store or any data you input into the Platform (collectively, your “Content”). Content includes, but is not limited to, data, information, materials, text, graphics, images, audio, video that are uploaded, transmitted, posted, generated, stored, or otherwise made available through the Platform. You have no obligation to provide any content to the Platform, and you’re free to choose the content that you want to provide. You acknowledge certain functionality or services may be dependent on the provision of Content and may not be available without such Content. Further rights and terms may be found in our Privacy Policy.

You are responsible for maintaining copies of your financial records and documents. BMFS does not guarantee long-term storage or retention of your records unless otherwise agreed in writing.

Limitation of Liability

To the maximum extent permitted by law, BMFS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

In all cases, BMFS’s total liability shall not exceed the total amount paid by you for the services in the three (3) months preceding the claim.
